Diversity in Design Collaborative Membership Agreement

This Membership Agreement (the “Agreement”) is made and entered into as of [Date] by and between Diversity in Design Collaborative, a 501c3 non-profit, (the “Organization”) and [Member Name] (the “Member”).

1. Membership

1.1 Membership Term: Membership in the Diversity in Design Collaborative (the “Collaborative”) shall commence on the date of this Agreement and shall continue for a period of one (1) year, unless terminated earlier in accordance with the terms of this Agreement.

1.2 Membership Benefits: As a Member, you shall be entitled to the following benefits:

  • [List of Membership Benefits, e.g., networking opportunities, access to exclusive resources, voting rights, etc.]

2. Membership Dues

2.1 Annual Dues: The Member agrees to pay an annual membership fee of [Amount] to the Organization.

2.2 Payment: Membership dues shall be payable annually on [Date] or upon acceptance of membership, whichever is later.

3. Code of Ethics and Conduct

The Member agrees to abide by the Diversity in Design Collaborative Code of Ethics and Conduct, as set forth in Appendix I.

4. Data Privacy and Security

The Member agrees to the terms of the Diversity in Design Collaborative Controller-to-Controller Data Privacy and Security Addendum, as set in Appendix II.

5. Authorization and Release

The Member grants the Organization the right to use the Member’s name and company name in connection with public communications related to the Collaborative.

 

6. Termination

6.1 Termination by the Organization: The Organization may terminate this Agreement immediately upon written notice to the Member if the Member fails to comply with the terms of this Agreement or the Code of Ethics and Conduct.

6.2 Termination by the Member: The Member may terminate this Agreement by providing written notice to the Organization 30 days in advance.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior  or contemporaneous communications, representations, or agreements, whether oral or written, with respect to the subject matter hereof.

Appendix I

Code of Ethics and Conduct

We pledge to work with our partners and competitors alike, to lead transformative, systemic change and advance diversity in design. To achieve this, we all agree on the rules of why and how we work together.
1. We are a collaborative partnership.
This gives us the unique ability––and responsibility––to use our best resources and talent to create new and different kinds of solutions. By sharing what we create and learn, and driving an ethos of inclusivity, together we will only become wiser––gain insights to make smarter, long-term decisions that achieve the representation we seek.

2. We commit to action toward change.

We are committed to taking concrete actions to diversify design disciplines both inside and outside our walls. Working together to raise awareness, increase access and strengthen pathways into industry. Our objectives will iterate and be measured against the real skills and meaningful career opportunities we create for members of the BIPOC community.

3. We honor different perspectives and remain respectful.

We seek to foster an inclusive environment where participants feel comfortable and encouraged to contribute. We approach differences of opinion with genuine curiosity and respect, understanding that our breadth of perspectives is key to problem-solving or generating new ideas.

4. We disclose conflicts of Interest.
Our collaborative’s reputation rides on the integrity of our members. It is therefore vital that any conflicts of interest are immediately disclosed. For our efforts to succeed, it is essential that we avoid actions that in any way undermine our ability to be fair and objective in our decision-making.

5. We preserve confidentiality.

Each of us possesses a wealth of experience and information that can further our collective goals; it is therefore imperative to abide by the collaborative’s confidentiality policy with respect to proprietary and confidential information of our members. Confidential information related to individual DID members or DID as the Collaborative (its creative assets, program details, etc.)  shall not be shared without express permission from the individual or entity.

Appendix II

Data Privacy and Security

1.1 Compliance with Laws: Both parties agree to comply with all applicable data protection and security laws, including but not limited to GDPR, CCPA, and HIPAA.

1.2 Data Processing: Each party will only process Personal Data (as defined below) as necessary to fulfill its obligations under the Agreement.

1.3 Confidentiality: Both parties will keep Personal Data confidential and secure.

1.4 Data Subject Rights: Each party will cooperate with the other in responding to data subject rights requests.

1.5 Security Measures: Both parties will implement appropriate technical and organizational security measures to protect Personal Data.

1.6 Data Breaches: In the event of a data breach, both parties will promptly notify the other and take appropriate steps to mitigate the impact.

1.7 Sub-processors: If either party engages a third-party processor, it will ensure that the processor is subject to the same level of data protection obligations.

1.8 Data Retention: Both parties will retain Personal Data only for as long as necessary to fulfill the purposes for which it was collected.

2.1 Personal Data: Information that identifies or can be used to identify an individual, such as name, address, email address, or phone number.
